Terms of Service

You must be at least 18 years old to create an account. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of another person (such as inviting a parent to a family circle), you represent that you have their consent to do so.

To use most features of the Service, you must create an account.

• You are responsible for keeping your account credentials confidential.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate information and to keep it up to date.
• You must notify us immediately at rosevine@engagem.ca if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate any account that violates these Terms.

Rosevine provides:

• Tribute letters: AI-generated written tributes based on information you provide about a family member
• Family circles: a shared space where you and invited family members can send daily check-ins, voice notes, photos, and reactions
• AI conversation: conversational features powered by third-party AI providers
• Notifications and alerts: reminders sent to you and your family members through push notifications and other channels you enable

We may add, modify, or remove features at any time. We will give reasonable notice of material changes when feasible.

4.1 Free Features

The tribute letter generator is free to use, subject to fair-use limits we may impose.

4.2 Paid Subscriptions

Access to the family circle and ongoing features requires a paid subscription. Current pricing is shown at the point of purchase.

• Subscriptions auto-renew at the end of each billing cycle until canceled.
• You can cancel at any time through your account settings or by emailing rosevine@engagem.ca. Cancellation takes effect at the end of the current billing period.
• Payments are processed by Stripe under their own terms.

4.3 Refunds

All sales are final unless otherwise required by applicable law. If you believe a charge was made in error, email rosevine@engagem.ca and we will investigate.

4.4 Price Changes

We may change subscription prices. We will notify you in advance of any price increase that applies to your subscription. If you do not accept the change, you may cancel before it takes effect.

5.1 Your Ownership

You retain ownership of the content you submit to the Service, including check-ins, voice notes, photos, and tribute inputs (“Your Content”).

5.2 License to Us

By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content as needed to operate the Service. This includes sending Your Content to third-party AI providers (such as Google Gemini and OpenAI Whisper) for processing.

We do not claim ownership of Your Content. We will not use Your Content to train AI models without your explicit consent.

5.3 Family Circle Sharing

Content you submit within a family circle is visible to other members of that circle. You are responsible for the content you share.

5.4 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all content you submit
• Your Content does not violate any third party’s rights, including privacy, publicity, copyright, or trademark rights
• Your Content does not contain unlawful, harassing, defamatory, or harmful material

We may remove content that we believe violates these Terms or applicable law.

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate any person or misrepresent your relationship to another person
• Submit false, misleading, or harmful information about another person, including in tribute letters
• Harass, threaten, or abuse other users (including family members in your circle)
• Attempt to access accounts or data that do not belong to you
• Reverse engineer, scrape, or attempt to extract source code from the Service
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to transmit malware, spam, or unsolicited communications
• Resell or commercially exploit the Service without our written permission
• Circumvent any access controls, paywalls, or security measures

We reserve the right to investigate violations and take appropriate action, including suspending or terminating your account.

Rosevine uses third-party artificial intelligence to generate tribute letters and conversational responses.

You acknowledge that:

• AI-generated content may contain inaccuracies or unexpected output
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You are responsible for reviewing AI-generated content before using it
• AI-generated content is not a substitute for professional advice (medical, legal, financial, mental health, or otherwise)
• You should not rely on the Service in any situation where lives, safety, or significant rights are at stake

If you are concerned about a family member’s safety, contact emergency services. Rosevine is not an emergency or crisis response service.

The Service relies on third-party providers, including:

• Hosting and infrastructure (Vercel, Supabase)
• Payment processing (Stripe)
• AI processing (Google, OpenRouter, OpenAI)
• Authentication (Google)
• Messaging (Twilio, HighLevel)
• Analytics (PostHog)

Your use of those services may also be subject to their own terms and privacy policies. We are not responsible for the actions or omissions of third-party providers.

The Service, including its software, design, logos, and content (other than Your Content), is owned by ENGAGEM e-Marketing Inc. and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes, subject to these Terms. We retain all other rights.

The names “Rosevine,” the Rosevine logo, and related marks are our trademarks. You may not use them without our prior written permission.

10.1 By You

You may stop using the Service and delete your account at any time through account settings or by emailing rosevine@engagem.ca.

10.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You violate these Terms
• We are required to do so by law
• We discontinue the Service or any part of it
• Your account has been inactive for an extended period

10.3 Effect of Termination

On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will continue to apply.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

ROSEVINE IS NOT A MEDICAL, MENTAL HEALTH, EMERGENCY, OR SAFETY MONITORING SERVICE. DO NOT RELY ON IT IN SITUATIONS WHERE PROFESSIONAL HELP OR EMERGENCY SERVICES ARE NEEDED.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ENGAGEM E-MARKETING INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless ENGAGEM e-Marketing Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party’s rights
• Your Content

These Terms are governed by the laws of the Province of New Brunswick and the laws of Canada applicable in that province, without regard to conflict-of-law principles.

You agree that any dispute arising out of or related to these Terms or the Service will be resolved in the courts located in New Brunswick, Canada, and you consent to the personal jurisdiction of those courts.

If you are a consumer in a jurisdiction that grants you the right to bring proceedings in your local courts, this clause does not affect that right.

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date and, if changes are material, notify you by email or through the Service.

Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not accept the changes, stop using the Service and cancel your account.

• Entire agreement: These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries: These Terms do not create any third-party beneficiary rights.
